TERMS AND CONDITIONS

These Terms & Conditions govern the relationship between LeadSniper and its business clients. They are not end-user consumer terms.

1. About LeadSniper

LeadSniper is operated by Joshua Aube ("we", "us", "our"). We provide AI-powered chatbot services designed to capture and forward leads for real estate businesses.

2. Acceptance of Terms

By engaging LeadSniper's services — whether through a signed agreement, verbal arrangement, email confirmation, or payment — the client ("you") agrees to these Terms & Conditions in full.

3. Our Services

LeadSniper provides the following services to clients:

  • Design, configuration, and deployment of AI-powered lead capture chatbots

  • Integration of chatbots onto client websites or platforms

  • Ongoing maintenance and support as agreed

  • Forwarding of captured leads to the client via agreed channels (e.g. email, CRM)

The specific scope, deliverables, and pricing for each client engagement will be agreed separately in writing or via email before work commences.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate information required to configure your chatbot (e.g. property listings, FAQs, business details)

  • Ensure you have the legal right to deploy a chatbot on your website or platform

  • Comply with all applicable data protection laws, including UK GDPR, in relation to leads received from LeadSniper

  • Inform your website visitors that a chatbot is in use and that their data will be collected and shared, via a compliant Privacy Policy on your own website

  • Not use LeadSniper's services for any unlawful purpose

5. Data & GDPR

For the purposes of data protection law:

  • LeadSniper acts as a data processor, processing personal data on behalf of the client.

  • The client acts as the data controller and is responsible for ensuring that the collection and use of lead data complies with UK GDPR and any other applicable legislation.

  • The client is responsible for providing appropriate privacy notices to their website visitors.

We handle all data we process on your behalf in accordance with our Privacy Policy and reasonable data security practices.

6. Payment

Payment terms, pricing, and invoicing arrangements will be agreed individually with each client before services commence. Unless otherwise agreed in writing:

  • Invoices are due within 14 days of the invoice date.

  • Work will not commence until payment or a written agreement is in place.

  • We reserve the right to suspend services if invoices remain unpaid.

7. Intellectual Property

All chatbot configurations, workflows, and system prompts created by LeadSniper remain the intellectual property of LeadSniper unless explicitly agreed otherwise in writing. The client is granted a licence to use the deployed chatbot for the duration of the service agreement.

8. Limitation of Liability

To the fullest extent permitted by law:

  • LeadSniper does not guarantee that the chatbot will capture any specific number of leads or generate any particular business outcome.

  • LeadSniper is not liable for any indirect, consequential, or incidental loss arising from the use of our services.

  • Our total liability to any client shall not exceed the total fees paid by that client in the 3 months preceding the claim.

9. Service Availability

We will use reasonable efforts to ensure the chatbot is available and functioning. However, we do not guarantee uninterrupted service and accept no liability for downtime caused by third-party infrastructure, hosting providers, or AI model providers.

10. Termination

Either party may terminate the service arrangement by giving reasonable written notice (minimum 14 days unless otherwise agreed). On termination:

  • All outstanding invoices become immediately due.

  • We will assist with an orderly transition if requested, at our discretion.

11. Governing Law

These Terms & Conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms & Conditions from time to time. Continued use of our services following notice of changes constitutes acceptance of the updated terms.
